Governance handed to the family

How Cole Land Holdings aligned three generations on one succession plan.

The challenge

A succession everyone assumed and nobody had written down.

The founder intended to hand over within three years. His two children held incompatible views of what that meant, and the grandchildren had never been asked. Every operational decision was quietly a succession decision, which is why so few of them got made.

The approach

We separated ownership from operation, then wrote the decision rights down.

Successors were brought in from the first session rather than presented with a finished plan. We drafted an entity structure that let ownership stay with the family while operating control moved on a defined schedule, and stood up a board with two independent seats to hold it.

The results

A signed succession plan all three generations endorse, and a functioning board making decisions without us in the room.

  • Succession plan signed by all three generations
  • Entity restructure separating ownership from operating control
  • Board seated with two independent directors
  • Decision rights documented for 14 recurring decision types
SEVNINE

"We had talked about succession for a decade. This was the first time anyone asked the grandchildren what they actually wanted."
